End User License Agreement (EULA) for Subtitle Sphere

Effective Date: August 2025

This End User License Agreement ("Agreement") is a legal agreement between you ("User" or "You") and Subtitle Sphere ("Licensor," "We," or "Us") for the use of Subtitle Sphere ("Software"). By installing, accessing, or using the Software, You agree to be bound by the terms of this Agreement. If You do not agree to the terms of this Agreement, do not install, access, or use the Software.

1. Grant of License

Licensor grants You a non-exclusive, non-transferable, revocable license to use the Software solely for personal or professional purposes, but not for resale, modification, or distribution, subject to the limitations set forth in this Agreement. You acknowledge that this license is only for use of the Software and does not transfer ownership of the Software.

2. License Restrictions

You agree not to:

  • Share or communicate any content through the Services that is racist, controversial, offensive, obscene, defamatory, or encourages illegal activities, violence, or discrimination.
  • Engage in behavior that disrupts others' enjoyment of the Services or exposes us, our users, affiliates, or third parties to liability or harm.
  • Reverse engineer, decompile, disassemble, or attempt to discover the source code of the Software.
  • Modify, adapt, translate, or create derivative works of the Software.
  • Use the Software for any illegal or unauthorized purpose.
  • Sublicense, rent, lease, distribute, or sell copies of the Software or Services without our express permission.
  • Transfer or assign this license to any other individual or entity without written consent from the Licensor.
  • Use the Software to develop a competing product or service.
  • Remove, alter, or obscure any copyright, trademark, service mark, logo, or other proprietary notices found in the Services.
  • Interfere with, disrupt, or bypass security measures on the Services, our website, or related networks.
  • Integrate the Services or their content into other programs, products, or services without express permission under these Terms.
  • Falsely represent yourself or your connection to any person or entity while using the Services.
  • Use automated means, scripts, or technologies to gather information from or interact with the Services without our consent.
  • Upload, distribute, or make available harmful software or malicious code, including viruses, worms, spyware, or any software designed to harm or alter systems or data.
  • Use the Services to violate or infringe on third-party intellectual property, privacy, or publicity rights.
  • Engage in harassment, intimidation, trolling, or any conduct designed to provoke or distress others while using the Services.
  • Use the Software to generate or distribute transcripts, translations, voiceovers or subtitles that are knowingly inaccurate, misleading, or intended to deceive others.
  • Upload or process content that you do not have the right to use, especially if it contains private, confidential, or proprietary information without authorization.
  • Present automatically generated transcripts, translations, voiceovers or subtitles as verified or professionally reviewed without clearly stating otherwise.
  • Alter or falsify subtitle timing, content, or language to mislead viewers or misrepresent the original media.

3. Ownership

The Software is the exclusive property of Licensor and is protected by copyright laws and international treaties. This Agreement grants You no ownership rights over the Software, only a limited right to use it under the terms of this Agreement.

4. Internet Connectivity

The majority of the Software's functions operate offline on the user's local system. However, certain features of the Software, such as AI-powered SRT generation from plain text, voice narration, Whisper-Google Fusion, Google transcription and translation services, require an internet connection. These features rely on third-party services (such as Google Speech Recognition, Google Translate and Google gTTS), and the availability, accuracy, and performance of these services are not guaranteed by the Licensor. You acknowledge that these services may be subject to their own terms and conditions. By using the Software, You agree to comply with the terms and conditions of any third-party services (e.g., Google Speech Recognition, Google Translate, Google gTTS) required for the functionality of certain features.

5. Privacy & Data Usage

Subtitle Sphere primarily operates as offline software, with most functions performed locally on the user's device without any data transmission. The Software itself does not collect, store, or transmit any personal data directly. However, certain features, such as AI narration (text-to-speech), translation, Google transcription, and SRT generation from plain text, rely on third-party services like Google Speech Recognition, Google Translate, Google Text-to-Speech (gTTS), Microsoft Edge TTS, and OpenAI API accessed via OpenAI.fm, which involves transmitting data (e.g., text for translation or speech generation) to those services. Please note:

  • These third-party services may have their own usage limits, terms of service, and data restrictions.
  • Subtitle Sphere does not control how these third-party services process this data or impose limits.
  • You are responsible for adhering to any limitations, terms, or data restrictions set by these third-party services.
  • Subtitle Sphere is not liable for any issues arising from exceeding data limits or violating terms of these third-party services.

These features are intended for personal, educational, and passion projects only. If you intend to use generated voices for commercial purposes or monetized content on platforms like YouTube, you must consult the policies of the respective third-party service providers. Subtitle Sphere does not promote or support the commercial use of these services without explicit consent from those providers, and the software is not responsible for such use.

For more information on how your data may be handled by these third-party services and their usage policies, please review their respective privacy policies and terms of service: Google Privacy Policy, Microsoft Edge Privacy Policy, and OpenAI Privacy Policy.

You are responsible for ensuring that your use of these services complies with applicable data protection regulations and any usage limits imposed by the third-party services. Subtitle Sphere is not responsible for any privacy, data protection, or usage limit issues arising from third-party services.

6. Term and Termination

This Agreement is effective from the date You install or use the Software and continues until terminated. Licensor may terminate this Agreement at any time if You breach any of the terms herein. Upon termination, You must cease using the Software and destroy all copies in Your possession.

7. Limited Warranty

The Software is provided "as is" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. Licensor does not warrant that the Software will be error-free or that it will meet Your requirements. Licensor does not warrant that the Software will be compatible with other software, systems, or hardware configurations.

8. Limitation of Liability

To the fullest extent permitted by law, in no event shall Licensor be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or in connection with the use or inability to use the Software, even if Licensor has been advised of the possibility of such damages.

9. Indemnification

You agree to indemnify and hold Licensor harmless from and against any claims, liabilities, damages, losses, and expenses, including legal fees and costs, arising from Your use of the Software or breach of this Agreement.

10. Updates and Modifications

Licensor may provide updates or modifications to the Software at its discretion. Such updates may be required for continued use of certain features. Licensor reserves the right to modify, suspend, or discontinue any aspect of the Software without prior notice or liability.

11. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of laws principles. Any disputes arising out of or relating to this Agreement shall be resolved in the courts of Ontario, Canada.

12. Severability

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

13. Entire Agreement

This Agreement constitutes the entire agreement between You and Licensor regarding the use of the Software and supersedes any prior agreements or understandings, whether written or oral.

14. Commercial Use and Attribution

If you use the Software for commercial purposes, including but not limited to the creation of subtitles, translations, or AI narration for paid projects, publications, or media, you agree to provide clear and visible attribution to Subtitle Sphere. An acceptable form of citation is: "Subtitles (or Translation/AI Narration) generated using Subtitle Sphere," with a link to the original website where applicable. This attribution must appear in any credits, publications, or wherever the work is publicly displayed or distributed. Failure to provide appropriate attribution may result in the termination of this license and potential legal actions for infringement.

15. Commercial Use and Licensing

The Software is currently provided free for personal and professional use, including offline and online features. However, any commercial use of the Software, including but not limited to incorporating its output into paid services, products, or media, may require a commercial license in the future. If you intend to use the Software for significant commercial purposes, such as incorporation into a paid service, product, or media, or if your commercial use exceeds a specific revenue threshold or user base, please contact us to discuss potential licensing options. We reserve the right to modify the licensing terms at any time. Failure to obtain a commercial license, if required, may result in the termination of this Agreement.

16. Feedback and Contributions

We welcome any feedback or contributions to improve the Software. By submitting any feedback, ideas, or modifications, you agree that the Licensor can freely use, modify, and incorporate them into future versions of the Software without any obligation to you.

17. Software Nature and Data Control

Subtitle Sphere is primarily an offline software that operates on the user's local system. The majority of its functions, including audio & video transcription and subtitling, are performed entirely on the user's device without any data transmission. Internet connectivity is only required for specific features such as translation, Google transcription, SRT generation from plain text files, and AI narration (text-to-speech), which utilize third-party services including Google Translate, Google Speech Recognition, Google Text-to-Speech, Microsoft Edge TTS, and the OpenAI API accessed via OpenAI.fm.

When using these online features:

  1. Data is transmitted directly from the user's device to the third-party service providers without passing through Subtitle Sphere's servers.
  2. Users maintain full control over when and what data is transmitted to these third-party services.
  3. Users are responsible for ensuring their use of these third-party services complies with the respective terms of service and data policies.
  4. Your IP address is also sent directly to the respective third-party service as part of the network request.

Subtitle Sphere is currently offered as a free software for both personal and professional use. However, we reserve the right to modify our licensing terms, including the potential introduction of paid features or commercial licensing requirements, in the future. Any such changes will be communicated to users and will not affect the core offline functionality of the software.

18. Software Disclaimer

Subtitle Sphere is provided as a free software product, developed by a small and dedicated team with the goal of delivering value to our users. We acknowledge that no software can be guaranteed entirely error-free or flawless. Please note the following:

  • Despite our best efforts, occasional bugs or errors may exist that could impact performance or functionality.
  • The software is provided "as-is," without any warranties, and we cannot guarantee uninterrupted or error-free operation.
  • As a free offering, we disclaim liability for any data loss, interruptions, or other impacts resulting from the use of this software.
  • Your understanding and feedback are greatly appreciated as we continue to improve our product over time.

By using Subtitle Sphere, you acknowledge these terms and accept the software as it is provided.

19. Trademark and Material Usage

You agree not to use, reproduce, modify, or distribute any of our trademarks, logos, instructional videos, materials, or any other proprietary content associated with the Software without our express written permission. This includes, but is not limited to:

  • Using our name, logo, or branding in any way that may imply endorsement or affiliation without prior consent.
  • Creating derivative works based on our instructional materials, videos, or documentation.
  • Distributing or displaying our content in any form, including online, in advertisements, or as part of any product or service offering, without authorization.

Any unauthorized use may result in the termination of your license to use the Software and may subject you to legal action.

20. Unauthorized Access and Tampering

You are strictly prohibited from engaging in any activities that compromise the integrity, security, or intended use of Subtitle Sphere, including but not limited to:

  • You should not reverse engineer the download process. You must always download by filling out the form. If you need to download both MacOS and Windows copies, you must fill out the form separately for each. If you bypass the process, reverse engineer it, or use any other method, your IP address will be reported as a scam.
  • Using browser developer tools, cURL, automated scripts, or any other method to inspect, snoop, or manipulate the HTML, JavaScript, or network requests of the website to gain unauthorized access to downloads or software-related data.
  • Attempting to access, retrieve, or distribute the software's source code, repositories, or any unreleased versions by any unauthorized means.
  • Altering, modifying, or manipulating the software's HTML, codebase, or any associated files or functionality.
  • Circumventing or bypassing mechanisms designed to regulate or manage software downloads, including forms, surveys, or access restrictions.
  • Engaging in any actions that exploit, misuse, or otherwise interfere with the software's distribution process or intended functionality.

Such actions are considered a material breach of this Agreement and may also constitute violations of applicable laws. Subtitle Sphere reserves the right to pursue all available legal remedies against individuals or entities that engage in unauthorized activities. If we catch someone engaging in unauthorized access or tampering, we will immediately discontinue providing support.

21. Terms of Use — Video Import from URL

This software provides functionality to extract audio and video from publicly available video URLs for purposes such as transcription, translation, or other personal uses. By using this software, you agree to the following terms and conditions:

  1. Lawful Use Only: This tool is intended for lawful use only. Users are responsible for ensuring that their use of the tool complies with all applicable copyright laws, intellectual property rights, and platform-specific terms and conditions.
  2. Content Ownership and Permission: Users must either:
    1. Own the content being processed (e.g., be the creator of the video or audio),
    2. Or have explicit permission from the content owner to process the content.
    Users also confirm that the content processed does not infringe upon the rights of others.
  3. Compliance with Platform Terms: Users acknowledge that downloading or processing content from platforms like YouTube may violate their Terms of Service unless explicitly authorized by the platform or content owner. By using this tool, users confirm their compliance with such Terms of Service and understand the legal responsibilities involved.
  4. No Responsibility of Developers: The developers of this software do not host, store, or redistribute third-party content. All downloads, processing, and transcriptions occur locally on the user's device. The developers bear no responsibility for any content handled through this tool.
  5. User Responsibility: Users are solely responsible for how they utilize this tool. This includes adhering to all applicable laws, regulations, and licensing conditions. The software is provided "as-is," and the developers are not liable for any legal consequences resulting from its use. Redistribution, commercial use, or storage of copyrighted material without permission is strictly prohibited.
  6. Indemnity: By using this tool, users agree to indemnify and hold harmless the developers, their affiliates, and any related third parties from any claims, losses, or damages (including legal fees) resulting from the use of this software.

Acknowledgment and Agreement: By using this software, you confirm that you have read, understood, and agreed to these terms and conditions. If you do not agree with any part of these terms, you must discontinue use of the software immediately.

22. Terms of Use — Import Transcripts from URLs

This software provides functionality to download transcripts of publicly available YouTube videos for purposes such as transcription, translation, or other personal uses. By using this software, you agree to the following terms and conditions:

  1. Lawful Use Only: This tool is intended for lawful use only. Users are responsible for ensuring that their use of the tool complies with all applicable copyright laws, intellectual property rights, and platform-specific terms and conditions.
  2. Content Ownership and Permission: Users must either:
    1. Own the content being transcribed (e.g., be the creator of the video or the transcript),
    2. Or have explicit permission from the content owner to download and process the transcript.
    Users also confirm that the content and transcripts being processed do not infringe upon the rights of others.
  3. Compliance with Platform Terms: Users acknowledge that downloading or processing transcripts from platforms like YouTube may violate their Terms of Service unless explicitly authorized by the platform or content owner. By using this tool, users confirm their compliance with such Terms of Service and understand the legal responsibilities involved.
  4. No Responsibility of Developers: The developers of this software do not host, store, or redistribute third-party content or transcripts. All transcript downloads and processing occur locally on the user's device. The developers bear no responsibility for any content handled through this tool.
  5. User Responsibility: Users are solely responsible for how they utilize this tool. This includes adhering to all applicable laws, regulations, and licensing conditions. The software is provided "as-is," and the developers are not liable for any legal consequences resulting from its use. Redistribution, commercial use, or storage of copyrighted transcripts or material without permission is strictly prohibited.
  6. Indemnity: By using this tool, users agree to indemnify and hold harmless the developers, their affiliates, and any related third parties from any claims, losses, or damages (including legal fees) resulting from the use of this software.

23. Use of Publicly Available Libraries

This software utilizes publicly available, open-source Python libraries and GitHub repositories that provide various functionalities. The software serves solely as a graphical user interface (GUI) that facilitates user interaction with these libraries. It does not host, store, or redistribute any third-party content. All actions and processing occur locally on the user's device.

The software integrates the following open-source Python libraries and GitHub repositories:

  • OpenAI Whisper – for local audio transcription using speech recognition models. GitHub (MIT License)
  • gTTS (Google Text-to-Speech) – for interfacing with Google's TTS service. GitHub (MIT License)
  • Deep-Translate – for accessing Google Translate APIs. GitHub (Apache License)
  • edge-tts – for accessing Microsoft Edge Text-to-Speech functionality. GitHub (GNU LGPLv3 License)
  • Demucs – for source separation of audio files (e.g., splitting vocals and background music). GitHub (MIT License)
  • OpenAI API via OpenAI.fm – using the third-party GitHub implementation fairy-root/ComfyUI-OpenAI-FM to provide AI narration with expressive voices and emotions. (MIT License)
  • gemini_srt_translator – using the third-party GitHub implementation MaKTaiL/gemini-srt-translator to provide translation via the official Google Gemini API. (MIT License)
  • OpenAI GPT API – official API used for translation, summarization, scripting, and TTS features via gpt-4o and gpt-4o-mini-tts models.
  • Google Gemini API – official API used for translation, summarization, scripting, and TTS via gemini-2.0-flash and gemini-2.5-flash-preview-tts models.
  • yt-dlp – for importing videos from URL. GitHub

Library Acknowledgments and Usage Disclaimer: All the aforementioned libraries and repositories are open-source projects maintained independently by their original developers. None of these libraries are developed, maintained, modified, or endorsed by us. Our software simply provides a user-friendly GUI interface to allow users to access their functionalities without needing to use Python or command-line interfaces directly.

These libraries and repositories are intended solely for personal, educational, or experimental use. They are not designed, licensed, or intended for production, commercial, heavy, or industrial use. Users should exercise their own discretion and judgment when utilizing these tools. These are third party libraries maintained by third parties, so the availability depends on them maintaining and updating their libraries. The features may stop working if the libraries become outdated or stopped. If you are using a feature and it stops working, we recommend reaching out to us using our feedback form. We try our best to update the software when an update for these libraries is available.

By using this software, you acknowledge and agree that:

  1. You use these third-party libraries and tools at your own risk.
  2. We disclaim any liability for damages, losses, or legal issues arising from your use or misuse of these libraries.
  3. We do not guarantee the availability, reliability, accuracy, or compliance of these libraries with any laws or policies.
  4. Using this software is functionally similar to running these libraries directly via their native command-line interfaces or Python environments, except that this software provides a GUI wrapper to simplify usage.

Please review and comply with the licensing terms, usage policies, and privacy statements of the respective third-party libraries and services you use through this software.

24. Data Collection for Waiting List Application Policy

By submitting an application through our waiting list, you agree to the following data collection policy:

  • Purpose of Data Collection: We collect your email address,country, platform preference, and project details to evaluate applications and communicate with approved members of our creator community.
  • Application Processing: Your submitted information is used solely to review your application, verify your YouTube engagement, and contact you if approved for access to Subtitle Sphere.
  • IP Address and Security: Our hosting platform automatically collects IP addresses for security purposes to prevent spam and abuse. IP addresses are retained only if suspicious activity is detected (e.g., multiple submissions, bot behavior). Otherwise, they are deleted after routine security monitoring.
  • Data Retention: Application data is retained for processing purposes. Email addresses of approved applicants are kept for community communication and software access. Non-approved applications may be retained for a limited period to prevent resubmission abuse.
  • YouTube Verification: We may verify your YouTube engagement (comments) as part of our application review process. We only check publicly available information and do not access private account data.
  • Communication: If approved, we will contact you via the email address provided with the subject "Welcome to Subtitle Sphere Community!" Approved members may receive occasional updates about software improvements or community news.
  • Data Storage and Compliance: All collected data is processed and stored securely by our cloud hosting infrastructure provider in privacy-compliant regions. Your data will never be shared with or sold to third parties by us under any circumstances. Data handling practices adhere to GDPR, CCPA, and other applicable privacy regulations as managed by the hosting provider.

Our waiting list form includes anti-spam protection (reCAPTCHA and honeypot fields) to ensure only genuine applications are processed. We are committed to protecting your privacy while building a community of dedicated creators.

25. No Affiliation with Third Parties

This software is not affiliated with, endorsed by, or in any way officially connected with OpenAI, YouTube, Google LLC, Microsoft, OpenAI.fm, or any of their subsidiaries or affiliates. All product and company names are trademarks™ or registered® trademarks of their respective holders. Use of them does not imply any affiliation or endorsement.

26. Use of AI Translation and Voice Features via Google Gemini and OpenAI GPT

Certain features of the software, such as translation and AI-powered voice generation, allow integration with third-party AI services, including the Google Gemini API and OpenAI GPT. These features require you to provide your own API keys for access and functionality.

Currently Supported Models:

  • OpenAI:
    • Voice generation (TTS): gpt-4o-mini-tts
    • Translation: gpt-4o-mini and gpt-4o
  • Google Gemini:
    • Voice generation (TTS): gemini-2.5-flash-preview-tts
    • Translation: gemini-2.0-flash

Key Terms of Use and Responsibilities:

  • You must provide your own valid API key for Google Gemini or OpenAI GPT services in order to use these features. Subtitle Sphere does not provide or embed any such keys.
  • Your API key is used solely for sending requests directly to Google or OpenAI. It is never stored, logged, or sent to any other server or third party by the software.
  • All billing, usage tracking, and data handling is between you and the respective service provider. Subtitle Sphere has no access to your usage data, billing info, or statistics.
  • You are responsible for complying with the terms of service, data usage policies, and billing practices of the services you use.
  • When using the Gemini API (especially through Google Studio free tier), your data may be retained and used by Google to improve its AI models. OpenAI may also use your data for training based on your tier and settings.
  • Do not upload or process any confidential, sensitive, or private data through these services. Use is at your own discretion and risk.
  • Subtitle Sphere is not responsible for any loss of data, incurred charges, model output behavior, or data retention issues related to your use of OpenAI or Google APIs.
  • By using these features, you agree not to hold Subtitle Sphere liable for any issues arising from your use of these third-party services.

27. Non-Commercial Software Disclaimer

This software is provided free of charge and is intended solely for personal, educational, and non-commercial use. No part of this software is monetized, and no content is hosted, stored, or sold by the developers.

The primary purpose of the software is to simplify access to publicly available, open-source tools via a user-friendly graphical interface. The developers receive no compensation for this software and do not profit, directly or indirectly, from its use.

Subtitle Sphere is a local desktop application. It does not collect, upload, download, store, or transmit any user data. All processing occurs directly on the user's own device using open-source Python libraries. The software does not perform unauthorized access to any third-party services and relies only on tools available for personal and educational use.

By using this software, you acknowledge and agree that it is offered purely as a convenience, and that it remains your responsibility to ensure all use complies with applicable laws and platform terms of service.
